Yes you need v4 for 64bit operation.
Dont forget to DeActivate your CS5 otherwise you lose the ability to install somewhere else without a call to Adobe Tech Support.
Doesn't the auto upgrade to 6 take care of that? You can only use the 6 upgrade with a 5 serial number and that will invalidate it, I think.
